These Terms of Service govern your access to and use of Leverwork's website and AI workforce solutions. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using leverwork.com or engaging with Leverwork's AI workforce solutions, you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Description of Services

Leverwork provides AI workforce solutions — consulting and implementation services for small and medium businesses. Our services include:

• Deployment of AI workers that perform business functions
• AI readiness assessments and strategy consulting
• Implementation and integration of AI systems into existing workflows
• Ongoing optimization and support services

Our typical engagement range is $15,000 to $25,000 setup fee plus monthly retainer per engagement (launch pricing through April 30, 2026), with pricing determined based on scope, complexity, and performance metrics. We operate on a partnership pricing model where fees are tied to measurable outcomes.

3. Eligibility

Our services are intended for business entities and professionals. By using our services, you represent that you are at least 18 years old and have the authority to bind your organization to these terms.

4. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information necessary for service delivery
• Maintain the confidentiality of any credentials, access keys, or proprietary information shared
• Comply with all applicable laws and regulations in their use of our services
• Not use our services for any unlawful, fraudulent, or harmful purposes
• Cooperate with Leverwork personnel during implementation and optimization phases

5. Intellectual Property

Our Intellectual Property

All content on this website, including text, graphics, logos, icons, images, software, and methodologies, is the property of Leverwork and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Client Data and Materials

You retain ownership of all data, materials, and information you provide to us. You grant Leverwork a limited license to use your materials solely for the purpose of providing our services. Upon termination, we will return or destroy your materials as directed.

AI Systems and Outputs

AI systems developed and deployed remain the intellectual property of Leverwork unless otherwise agreed in writing. Client-specific customizations and configurations are licensed to the client for the duration of the engagement.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of engagement. This includes business strategies, data, methodologies, and technical information. Confidentiality obligations survive termination of services for a period of three (3) years.

7. Payment Terms

Payment terms will be specified in individual service agreements. Our standard terms include:

• Partnership pricing fee structure with 90-day payback guarantee tied to agreed metrics
• Monthly billing for ongoing services
• Net 30 payment terms unless otherwise specified
• Late payments may result in service suspension

8. Limitation of Liability

To the maximum extent permitted by law:

• Leverwork shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Our total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim
• We do not guarantee specific business outcomes, revenue increases, or cost savings from AI implementations

9. Disclaimers

Our services are provided "as is" and "as available." We do not warrant that:

• Services will be uninterrupted, error-free, or secure
• AI systems will perform without human oversight
• Results will meet your specific business objectives

10. Indemnification

You agree to indemnify, defend, and hold harmless Leverwork and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of our services in violation of these terms
• Your violation of any third-party rights
• Your breach of applicable laws or regulations

11. Termination

Either party may terminate the engagement as follows:

• For convenience: 30 days written notice required
• For cause: Immediate termination upon material breach or insolvency

Upon termination, you remain liable for fees for services rendered through the termination date.

12. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Sheridan County, Wyoming.

13. Dispute Resolution

Before initiating formal proceedings, the parties agree to attempt good-faith negotiation to resolve any disputes. If negotiation fails, disputes will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

14. Force Majeure

Leverwork shall not be liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation or energy.

15. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Material changes will be posted on this page with an updated effective date. Continued use of our services after changes constitutes acceptance of the new terms.

16. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

17. Entire Agreement

These Terms of Service, together with any applicable service agreements and privacy policy, constitute the entire agreement between you and Leverwork concerning our services.
